General Wholesale Agreement

Purpose

This agreement outlines the terms, expectations, and responsibilities between Chaizing Fireflies (the “Brand”) and approved retail partners (the “Retailer”) who wish to carry Chaizing Fireflies products for resale.

Brand Standards

Retailers agree to uphold Chaizing Fireflies’ brand identity, aesthetic, and product integrity. This includes proper product display, accurate representation of product information, and adherence to approved brand assets.

Ordering & Minimums

Retailers must meet established order minimums for wholesale purchases. Minimums ensure consistent production scheduling and inventory availability.

Lead Times

Lead times vary based on product category, season, and production volume. Retailers will be notified of expected fulfillment timelines at the time of ordering.

Payment Terms

Payment must be completed before production begins unless otherwise approved. Accepted payment methods include standard retail invoicing options.

Shipping & Delivery

Shipping costs, delivery timelines, and packaging standards will be communicated during the ordering process. Retailers are responsible for providing accurate shipping information.

Product Handling

Retailers agree to store and display products in conditions that maintain product quality. This includes avoiding exposure to extreme temperatures, moisture, or direct sunlight.

Returns & Exchanges

Wholesale orders are final. Damaged or defective items may be eligible for replacement upon review.

Marketing & Promotion

Retailers may use approved Chaizing Fireflies brand assets for marketing purposes. Any additional promotional materials must be reviewed for brand consistency.

Compliance

Retailers must comply with all local, state, and federal regulations related to product resale.

Termination

Either party may terminate this agreement with written notice. Outstanding balances or obligations must be resolved prior to termination.

Acceptance

By placing a wholesale order, the Retailer acknowledges and agrees to the terms outlined in this General Wholesale Agreement.
