Summary: Section 14 establishes the legal jurisdiction that governs this Agreement. It specifies which state’s laws apply to all interpretations, disputes, and enforcement actions, and identifies the proper venue where any legal proceedings must be filed. This section ensures both Parties understand the legal framework that controls the Agreement and prevents conflicts over where or how disputes should be resolved.

14.1    Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the State of                     , without regard to its conflict of law principles.

14.2    Good-Faith Negotiation. In the event of any dispute, controversy, or claim arising out of or relating to this Agreement or the breach, termination, or validity thereof (a “Dispute”), the Parties agree to first attempt to resolve the Dispute through good-faith negotiation between senior representatives of each Party. Such negotiation period shall last not less than thirty (30) days from the date one Party delivers written notice of the Dispute to the other, unless the Parties mutually agree in writing to extend or shorten this period.

14.3    Binding Arbitration. If the Parties are unable to resolve a Dispute through good-faith negotiation within the period specified in Section 14.2, such Dispute shall be finally resolved by binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules then in effect. Summary: Section 15 explains how changes to the Agreement may be made. It requires that any amendment, modification, or adjustment must be documented in writing and signed by both Parties to be valid. This section prevents unauthorized changes, protects both Parties from informal or verbal alterations, and ensures that all updates to the Agreement are mutually agreed upon and properly recorded.

15.1    Entire Agreement. This Agreement, together with all Exhibits and any written amendments executed by both Parties, constitutes the entire agreement between the Parties with respect to its subject matter and supersedes all prior and contemporaneous agreements, representations, negotiations, and understandings, whether oral or written, between the Parties relating to such subject matter.

15.2    Severability. If any provision of this Agreement is held by a court of competent jurisdiction or arbitrator to be invalid, illegal, or unenforceable for any reason, such provision shall be modified to the minimum extent necessary to make it enforceable, or if modification is not possible, it shall be deemed severed from this Agreement. The validity and enforceability of all remaining provisions shall not be affected or impaired thereby.

15.3    Waiver. No failure or delay by either Party to exercise any right, power, or remedy under this Agreement shall operate as a waiver of that right, power, or remedy. No waiver shall be effective unless made in writing and signed by the waiving Party.

15.4    Force Majeure. Neither Party shall be in default or liable for any delay or failure to perform its obligations under this Agreement (other than payment obligations) to the extent such delay or failure is caused by circumstances beyond that Party’s reasonable control, including but not limited to acts of God, natural disasters, pandemics, acts of war or terrorism, government actions, labor disputes, or supply chain disruptions (“Force Majeure Event”). The Party affected by a Force Majeure Event shall promptly notify the other Party in writing and shall use commercially reasonable efforts to mitigate the effects of and resume performance as soon as practicable.

All notices, requests, demands, consents, and other communications required or permitted under this Agreement shall be in writing and shall be deemed duly delivered when: (a) delivered personally; (b) sent by certified or registered mail, postage prepaid, return receipt requested; or (c) sent by nationally recognized overnight courier, to the addresses set forth in Section 1 of this Agreement or to such other address as a Party may designate by notice. Notices may also be provided by email where acknowledged in writing by the receiving Party, provided that critical legal notices (including termination notices) must be delivered by one of the methods specified in (a), (b), or (c) above.

15.7    Counterparts and Electronic Signatures. This Agreement may be executed in two or more counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument. Electronic signatures (including signatures transmitted by PDF or executed through a recognized electronic signature platform such as DocuSign or equivalent) shall be deemed valid and legally binding to the same extent as original ink signatures.

15.8    Independent Contractors. The Parties are and shall remain independent contractors. Nothing in this Agreement shall be construed to create a partnership, joint venture, agency, employment, or franchise relationship between Chaizing Fireflies and the Wholesale Partner.
